{"id":14416,"date":"2025-04-25T06:14:59","date_gmt":"2025-04-25T06:14:59","guid":{"rendered":"https:\/\/infundpros.com\/?p=14416"},"modified":"2025-04-25T06:15:00","modified_gmt":"2025-04-25T06:15:00","slug":"hsbc-explored-axing-in-person-agm-amid-frustration-with-cost-and-protests","status":"publish","type":"post","link":"https:\/\/infundpros.com\/?p=14416","title":{"rendered":"HSBC explored axing in-person AGM amid frustration with cost and protests"},"content":{"rendered":"<div>\n<p>Unlock the Editor\u2019s Digest for free<\/p>\n<p class=\"article__content-sign-up-topic-description\"><span>Roula Khalaf, Editor of the FT, selects her favourite stories in this weekly newsletter.<\/span><\/p>\n<p><iframe class=\"article__content-sign-up-iframe close\" scrolling=\"no\" id=\"signUpIframe\" data-prev-url=\"\/register\/in-article-sign-up?ft-content-uuid=28020b9e-956d-4081-bcb0-a479828d13dd\"><\/iframe><\/div>\n<div id=\"article-body\">\n<p>HSBC has discussed moving its annual general meeting entirely online after mounting frustrations with disruptions from climate protesters and the costs associated with in-person gatherings.\u00a0<\/p>\n<p>The London-based bank has examined if it can ask shareholders to participate exclusively by virtual means, according to two people familiar with the matter, as it moves towards \u201cdigital-first\u201d gatherings of investors. <\/p>\n<p>HSBC is set to host its annual meeting of shareholders at the InterContinental London Hotel early next week, which will be supplemented by the online Lumi platform. <\/p>\n<p>A shift to virtual-only attendance would help the bank cut costs such as leasing out large venues, providing refreshments and hiring security personnel, one of the people said. It would also limit disruptions from protesters, said another person briefed on the matter.<\/p>\n<p>\u201cThis may be the last year [HSBC] has an in-person option,\u201d the second person said. \u201cThere\u2019s always been this hope you can go virtual because of the protests.\u201d<\/p>\n<p>HSBC said its board had \u201cnot considered any proposal to move to a virtual AGM\u201d. <\/p>\n<p>\u201cThis year\u2019s meeting, as in prior years, will be a hybrid meeting giving all shareholders the option of attending in person,\u201d the bank added, in response to questions from the Financial Times.<\/p>\n<p>Shareholder meetings were historically big events and are still viewed by hundreds of individual shareholders as their opportunity to engage with senior management and hold them to account. However, companies have increasingly sought to scale back the meetings and have asked for questions to be submitted in advance. <\/p>\n<p>HSBC has in recent years dealt with significant disruptions to its AGM, predominantly from the environmental group Extinction Rebellion.<\/p>\n<p>Climate protesters interrupted chair Mark Tucker\u2019s speech in 2022 and sang a version of Abba\u2019s hit song with lyrics adapted to \u201cmoney, money, money, it\u2019s so scummy in HSBC\u2019s world\u201d. The bank was again targeted by activists at its 2023 meeting, despite moving the venue from London to Birmingham. <\/p>\n<p>The bank has been on a cost-cutting drive since Georges Elhedery took the helm in September and has promised investors $1.5bn of annual cost savings. Elhedery has overseen the merger of HSBC\u2019s commercial banking and global banking and markets units as well as the wind-down of its investment banking operations in the UK, Europe and America. <\/p>\n<p>A move to remote attendance would align HSBC with its Spanish peer Santander, which held its first fully remote AGM earlier this month.\u00a0<\/p>\n<p>Many UK companies have taken a hybrid approach to AGMs since the Covid-19 pandemic disrupted annual investor meetings. But most have stopped short of fully remote gatherings for fear they could fall foul of UK company law. <\/p>\n<p>A move to virtual AGMs would have a \u201clow risk of an adverse outcome\u201d, one corporate lawyer told the FT, with shareholders unlikely to legally challenge it. \u201cThere\u2019s a safety in numbers if more companies are doing it,\u201d they said. <\/p>\n<p>Some companies have actively discouraged shareholders from turning up at meetings.\u00a0<\/p>\n<p>AstraZeneca has moved to a \u201cdigitally enabled AGM\u201d and told shareholders that management and board members would be taking part electronically.
